About Paritosh Chauhan
He provides bespoke, business-focused legal services to clients on complex legal and regulatory issues. Over the past decade, Paritosh has advised several large multinational corporations across different sectors, including manufacturing, automobile, IT-ITeS, consulting and e-commerce.
He has significant experience in assisting international corporate groups in devising their entry into Indian markets and rendering legal advice to foreign subsidiaries and established Indian business groups on new ventures in India. This includes advising on the feasibility of proposed business projects/ models under laws governing different sectors/ industries (including foreign investment, data privacy, employment, industrial and environment laws/ regulations). He also assists clients in devising strategies related to closure of business and exit from India and advised several clients on temporary or permanent downsizing exercises during the COVID-19 pandemic.
He advises international corporate groups on suitable contractual structures for complex multi-level commercial transactions, and drafting/ negotiating requisite documents, including service agreements (standalone, as well as framework agreements with pro-forma work orders/ statements of work), sale-purchase agreements, original equipment manufacturing agreements, distributorship agreements, franchise agreements, architecture, design & engineering service agreements, construction and project management agreements, residential and commercial lease deeds, settlement agreements, operation and maintenance agreements, etc.
He advises large multinational corporations on pan-India technical collaborations and joint ventures with India-based research laboratories, start-ups, educational institutes, and ed-tech companies and drafting/ negotiating requisite documents, such as joint venture agreements, technical collaboration agreements, transfer of technology agreements, intellectual property licensing agreements, original equipment manufacturing agreements, software as a service (SaaS) agreements, domain name license agreements, etc.
He also advises comprehensively on issues consequential to such commercial transactions, such as enforcement of contracts, damages, indemnity, law of limitation, etc.
He regularly advises clients on Indian employment laws, on issues including employees’ rights, employer’s obligations, wages and social security benefits, employee health and safety, sexual harassment, employee misconduct, etc. He also has significant experience in setting up internal governance frameworks for clients and has drafted corporate policies, such as policies for prevention of sexual harassment, data privacy policies, equal opportunity policies (for persons with disabilities), employee handbooks/ working regulations, and has also held several training sessions to educate employees and management on critical issues under such policies. He also assists multinational companies with carrying out internal enquiries in cases of employee misconduct and sexual harassment.
He also represents clients before regulatory authorities and assists with resolving several issues which require a practical understanding of India’s complex regulatory framework, including issues pertaining to foreign investment, trade licensing, import/ export of goods, legal metrology, intellectual property, employment laws, etc.
